COMPUTER CLUB CONSTITUTION & BYLAWS
ARTICLE
I – NAME
The name of this organization shall be:
ROCK SHADOWS COMPUTER CLUB, A.K.A. ROCKCOMP COMPUTER CLUB.
ARTICLE II –
LOCATION
The location and/or address
of this organization shall be:
Rock Shadows
RV Resort
600 South Idaho Road
Apache Junction, Arizona 85119
ARTICLE III –
OBJECTIVES
The
objectives of this organization shall be:
a)
To promote interest
in computer usage by providing training, instruction, demonstrations,
seminars, procuring and maintaining club equipment, and maintaining an
area for such activities.
b)
To provide a forum
whereby club members can exchange information and solve problems
relative to the operation of their computers and the associated
softwares.
c)
To enhance the
skills of novice computer users, and to broaden the skills of
intermediate users.
ARTICLE IV -
MEMBERSHIP
Section 1: Membership shall be
open to residents of Rock Shadows RV Resort. Said residents may become
members upon the payment of such dues and/or assessments as are set for
Regular Membership by the Executive Committee and approved by the
membership.
Section 2: Visitors shall be
encouraged to attend one (1) free meeting and thereafter be required to
become paid members.
Section 3: Associate
Membership. Associate membership may be granted to non-residents
of Rock Shadows upon the recommendation of a member of the club and the
payment of such dues and/or assessments as are set for the Associate
membership by the Executive Committee and approved by the membership.
Associate members may not serve on the executive board and have no
voting privileges.

Associate Members must be a
resident of a Senior, 55 or more, RV Park and they may be grandfathered
in at the discretion of the President.

Section 4: Honorary
Membership. Honorary 5 year membership may be granted to members in
good standing when they are unable to return to Apache Junction due to
illness. There shall be no dues for Honorary Members.
ARTICLE
V – ELECTION & OFFICERS
Section 1: At the first
January meeting a three (3) member nominating committee shall be
appointed to develop a slate of nominees for the positions to be filled
for the year beginning the following February.
Section 2 The nominating
committee shall present its slate of nominees at the next business
meeting. At that meeting, nominations from the floor shall be called
for and accepted, provided the person nominated has previously
agreed to accept the position for which nominated. The election of
officers shall then be held..
The
officers shall include: President, Vice President, Secretary,
Treasurer and 3 Trustees.

Section 3: The officers
shall hold office for a term for one (1) year. To provide continuity,
the trustees shall serve a two (2) year term.

ARTICLE VI-DUTIES OF OFFICERS
Section 1 PRESIDENT:
the President shall call and conduct all meetings of the Club and
determine the results of all votes. He/She shall announce all business
to be brought before the meeting, preserve order and decorum, and decide
all issues of order. He/She shall appoint all committees needed with the
consensus of the Executive Committee, and be an ex-officio member of all
such committees.
Section 2: VICE
PRESIDENT: The Vice President shall assist the President, and in
the absence of the President, conduct meetings and assume all president
duties.
Section 3: SECRETARY:
The Secretary shall record the minutes of all meetings of the membership
and the Executive Committee and shall report these minutes in writing at
the next meeting.

Section 4: TREASURER:
The Treasurer shall keep the financial records of the Club and give
regular reports to the President and the Membership.

Section 5: EXECUTIVE
COMMITTEE: The Executive Committee shall consist of the President,
Vice-President, Secretary, Treasurer and three (3) Trustees.

Section 6: TRUSTEES:
The Trustees shall represent all Rockcomp Computer Club Members and
bring member concerns to the Executive Committee. The Trustees will also
conduct an annual audit of the treasurer’s books by March 1 of each
season. The Trustees shall assume duties of President in the absence of
the President and Vice President.

ARTICLE VII-OPERATING FUNDS
Section 1: An operating
fund shall be maintained for the convenience of the Club. All cash
receipts received by the Treasurer shall be deposited to a bank checking
account maintained for the benefit of the Club. The signatures of the
President, Vice-President and Treasurer shall be on the bank signature
card. Two signatures shall be required on each check drawn on this
account. The books shall be audited annually by the Trustees.

Section 2: All expenditures
of over two hundred ($200.00) dollars shall require the approval of the
general membership.

ARTICLE VIII-VOTING
Section 1: One-third (1/3)
of paid up individual members shall constitute a quorum at any General
Meeting. A simple majority of those present at any meeting will carry
any motion placed before any such meeting. The President shall vote only
in the event of a tie vote.
ARTICLE IX-PARLIAMENTARY PROCEDURE
Section 1: The
rules contained in Roberts Rule of Order shall govern the Club in all
cases where they are applicable.
ARTICLE X-AMENDMENTS
Section1: Amendments to
the ByLaws shall be accomplished by a two-thirds (2/3) majority vote of
individual members attending a General or specially called meeting.
Individual members shall be notified of the proposed amendments at least
seven (7) days prior to the called meeting.
ARTICLE XI-OPERATING RULES
Section 1: The membership mail or
e-mail address list shall not be used for personal or financial gain.
Such persons doing so will forfeit all Club privileges and shall be
expelled from the Rockcomp Computer Club with no refund of monies.
